Shoosmiths has one of the UK's largest dedicated teams of specialist outsourcing lawyers and an enviable reputation for having advised on some of the most complex and high value outsourcings in recent years.

Within the outsourcing team there are lawyers with extensive experience in the FM sector, aided by the fact that we act for 5 of the world's largest FM providers (including Aramark, ISS and Elior). We also have lawyers who have spent time working in-house at FM providers (including David Jackson at Compass Group Plc and Simon Edwards at Johnson Controls Inc) giving us a unique insight into how service providers operate, and their approach to pricing and risk.

Shoosmiths has also acted extensively on the customer side of facility management outsourcings. Having this balanced portfolio of provider and customer clients enables us to anticipate issues from both sides of the fence and to provide pragmatic solutions based on a rounded knowledge of the acceptable standards in the market.

The long-term nature of facilities management agreements can mean that a commercial deal which looked ideal on paper at the outset may no longer be workable two or three years down the line. We therefore take the time to get to know the commercial drivers of any transaction right from the start to enable us to build in the right level of flexibility so that the contractual documents can keep pace with the evolving relationship.

But if the worst does happen, our dispute resolution specialists can provide first-class litigation advice - they have significant expertise in the FM sector, including acting for Wilson James in its High Court claim against G4S and defending a linked counterclaim arising out of Wilson James' provision of security personnel during the Olympics and Paralympic Games in 2012.

Where the project involves the provision of "hard" as well as "soft" FM, we work closely with our colleagues from our Construction Team to ensure that the contractual documentation deals with the nuances and the regulatory requirements of the construction sector.

Work highlights:

  • Advising Aramark's healthcare division on a 5 year contract for the provision of outsourced catering and facilities management services to South London and Maudsley NHS Trust across multiple sites. Work included advising on all aspects of the competitive dialogue process from bid-stage through to selection of Aramark as preferred bidder.
  • Advising Macmillan on its facilities management contracts for its brand new purpose built campus facility in Kings Cross which will serve as the global HQ for Macmillan Science & Education and will house 1,200 staff.
  • Advising a FTSE 10 FMCG business on its multiple jurisdiction facilities management outsourcing.
  • Advising a Global Motor Company on the outsourcing of its facility management requirements across numerous sites.
