The Chevron Group (Chevron) and Shoosmiths have been working in partnership for a number of years. Chevron needed support delivering its strategic growth plan and was impressed with the Shoosmiths team who were known to the business as a result of their work on the original exit of Portchester Equity from a Chevron subsidiary, and to General Counsel Charlotte Jackson through her work with the Shoosmiths restructuring team in her previous role.
Chevron is the leading work zone safety specialist in the UK, with a focus on traffic management, digital work zone solutions, arboriculture and soft estate services and barrier solutions. Chevron’s strategy centres on building its market share through acquisitions. Traffic management is a significant market with several small providers and sectors and cost and operational efficiencies can be driven through integration as part of the wider group.
Shoosmiths have recently worked with Chevron on the following acquisitions to help grow their portfolio:
- Camps Highways Limited, a commercial landscaping and highway maintenance company, and Camps Environmental Services Limited, which provides a range of arboricultural, landscape and environmental consultancy services. In addition to the acquisition, we advised on the subsequent reorganisation to hive the businesses up into the Group structure
- Herts Traffic Management, a low-speed traffic management provider operating across the London and South East England
- Highway Barrier Solutions Limited (HBS), based in Northern Ireland, leveraging off the Shoosmiths team in Belfast and Edinburgh
- Shift Traffic Events Limited, an events and utilities sector traffic management specialist bolstering expertise in the sector
- The business and assets of Thompson Estate Maintenance Limited, an arboricultural and soft estates business in South East England
Chevron is one of the five companies that make up the international Work-Zone Safety Group (WZSG). Shoosmiths recently ran an M&A workshop for the WZSG as part of our commitment to providing value added services to further enhance and develop the client relationship with Chevron.
“The Corporate team consistently rallies to provide commercially focussed advice and deliver M&A transactions within our tight timeframes. They are unflappable and always on hand.
The team always use the information collated within the due diligence exercise to look at ways they can help the Chevron business. In addition to the Corporate work we do with Chevron, we also provide full-service legal advice including:
- commercial support, specifically around business critical IT arrangements and developments including managed service agreements. “The team are completely reliable, incredibly commercial and fantastically responsive and is well supporting a part of the business that is working at breadth and pace at the moment” Charlotte Jackson, GC
- employment advice, not only through the corporate deals but also on standalone matters and post deal integration issues. We now work with them to proactively identify employment issues and help them address these
- real estate advice as the deals often include warehouse and depot portfolios which require new lease arrangements post deal conclusion
“Nina, our client partner, has connected me to several members of the wider team who provide a great support network. The firm has an incredible collection of people who are consistently supportive, responsive and fantastic in their fields. It supports me on a really broad range of matters – to have what has become a successful one stop external counsel solution is a rare and precious thing!
With many more deals in play and in the pipeline, we are looking forward to working further with Chevron to deliver the business’ strategic growth ambitions.
“Shoosmiths thrives on positive client partnerships, and our relationship with Chevron is certainly one at the heart of this philosophy. With more deals in play and in the pipeline, we are looking forward to working further with Chevronto deliver their strategic growth ambitions.” Nina Smith, Client Partner
