Adam is a corporate Senior Associate based out of the Shoosmiths’ Milton Keynes office.
Adam has a particular focus on private equity and private M&A transactions, with a wide range of expertise working with private equity houses, corporate entities and management teams on PE and M&A transactions, disposals, investments, shareholder arrangements and general corporate governance.
Recent project highlights for Adam include:
- advising Five Arrows (private equity arm of Rothschild & Co) on acquiring a majority stake in Mintec, the leading global provider of food-related commodity prices, forecasts, and advanced analytics, as well as Five Arrows’ co-investment alongside Synova;
- acting for management of automotive retail technology provider, CitNOW Group, on their rollover into a newly incorporated entity, alongside private equity investment from Livingbridge and existing backer Tenzing;
- advising Five Arrows on the acquisition (alongside Insight Partners) of a large minority stake in Belgium based Kpler Holding SA, a leading provider of technology-led data, analytics and market insight;
- acting for Ipsos S.A. on the acquisition of Karian and Box, a leading specialist in employee research and experience;
- advising Five Arrows on the acquisition of the Irish based Texthelp Group (an online literacy and language solution) and its subsequent acquisitions of Danish base Wizkids (five multi-jurisdictional entities) who specialise in education accessibility tools and data synchronisation;
- acting for Opus 2 (a UK based legal software company and investee company of Five Arrows) on its acquisition of UK based, Bar Squared and subsequently advising Five Arrows and other sellers of Opus 2 on the exit of Opus 2 to Astorg;
- advising on the acquisition of Allocate Software by RL Datix, investee company of Five Arrows, TA Associates and Nordic Capital; and
- acting for US based Beeline group’s acquisition of JoinedUp group, a workforce management software provider, backed by the group’s investee company, New Mountain Capital.
Adam worked as a paralegal and then trained with the firm, also gaining significant experience on secondment, working within the legal functions of Volkswagen Group UK Ltd, Travelodge Hotels Ltd and Volkswagen Financial Services.
