Kendra is an associate in the corporate team having joined Shoosmiths in 2018 and has experience in M&A, private company investments, shareholders’ arrangements, corporate reorganisations and joint venture work across a range of sectors such as technology, healthcare and biotech, construction, energy, real estate, retail, franchising and food and drink. She has also been involved in a number of the team’s larger value transactions, public company transactions including takeovers and cross border work.
Kendra’s academic qualifications include a masters in law and a masters in science with law, business and management and prior to carrying out her legal training with Shoosmiths, she spent 5 years’ running a business as a self-employed project manager specializing in experiential promotions with clients such as Yorkshire Tea, Taylors’ of Harrogate, AB World Foods and Weight Watchers.
These experiences outside of the legal sphere have given Kendra a more rounded, commercially focused approach and she is often commended for proactivity, attention to detail and a logical, calm and pragmatic manner. She is very hands on in transactions, builds excellent relationships with clients and is extremely diligent, demonstrating an aptitude for corporate transactions and technical ability.
Transactional experience at Shoosmiths includes:
- advising MIP Holdings on its public company takeover by way of scheme of arrangement and delisting of French Connection Group plc
- assisting on both the corporate and commercial elements of the multi-million dollar, multi jurisdictional acquisition of a Delaware shell company returning a well known brand of streetwear clothing to Manchester ownership
- advising Berkley DeVeer on its investment from Elliott Advisers and acquisition of Avant Homes
- assisting on a number of high value investments into private companies, including the Series B, C and D rounds of investment into an Altrincham based technology company where the £100 million D round won private company deal of the year at the 2021 rainmaker awards
- acting for both individual, corporate and private equity sellers and corporate buyers on numerous mid-market disposals and acquisitions of SMEs
- carrying out group reorganisations involving private companies limited by shares including share for share exchanges and share buy backs
- working with a specialist team on a clients’ complex and high value (£451m) bid to be the selected concessionaire on a large government telecommunications project
